CertainTalents is NOT a law firm and does NOT provide immigration legal advice. We are a job platform that connects employers with candidates. For specific immigration matters, please consult with a licensed immigration attorney.

1. Acceptance of Terms

By accessing or using CertainTalents ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and CertainTalents. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

CertainTalents is an online platform that connects job seekers with employers who are willing to sponsor work visas. The Service includes:

  • Job listings that indicate visa sponsorship availability
  • Candidate profiles showcasing visa status and qualifications
  • Application management tools for both candidates and employers
  • Communication features between parties
  • Information about common visa types (H-1B, L-1, O-1, etc.)

CertainTalents serves as a facilitator only. We do not guarantee job placement, visa approval, or successful sponsorship outcomes.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

3.2 Account Types

CertainTalents offers two account types:

  • Candidate Accounts: For individuals seeking employment with visa sponsorship
  • Employer Accounts: For companies seeking to hire candidates and potentially sponsor visas

3.3 Verification

We reserve the right to verify your identity, qualifications, employment status, or company information. Failure to provide requested verification may result in account suspension or termination.

4. User Conduct

You agree not to:

  • Post false, misleading, or fraudulent information
  • Impersonate any person or entity
  • Use the Service for any illegal purpose
  • Violate any local, state, national, or international law
  • Harass, abuse, or harm other users
  • Spam or send unsolicited communications
  • Scrape, crawl, or use automated tools to collect data
  • Circumvent security features or access restrictions
  • Upload viruses, malware, or malicious code
  • Discriminate based on protected characteristics (race, religion, national origin, etc.)
  • Post jobs with no intention of hiring
  • Share login credentials with others

Employers must comply with all applicable employment laws, including anti-discrimination laws and immigration regulations. Job postings must accurately represent the position and sponsorship availability.

5. Intellectual Property

5.1 Our Rights

The Service and its original content, features, and functionality are owned by CertainTalents and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of content you submit to the Service (resumes, job postings, messages, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Service.

5.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our express written permission.

Immigration law is complex and subject to change. Each individual's situation is unique. You should consult with a licensed immigration attorney for advice specific to your circumstances.

CertainTalents makes no representations or warranties regarding visa approval, immigration outcomes, or the accuracy of immigration information provided.

6.1 No Guarantee of Results

We do not guarantee:

  • That you will find employment through the Service
  • That employers will sponsor your visa
  • That visa applications will be approved
  • That job postings are accurate or legitimate
  • The quality, safety, or legality of jobs posted
  • The truth or accuracy of user content

6.2 As-Is Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTAINTALENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This includes but is not limited to damages resulting from:

  • Your use or inability to use the Service
  • Unauthorized access to your account
  • Actions or content of other users
  • Failed job applications or visa denials
  • Reliance on information provided through the Service
  • Discrimination or illegal conduct by employers or candidates

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless CertainTalents, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any rights of another user or third party
  • Content you submit to the Service
  • Employment relationships formed through the Service

9. Termination

9.1 By You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Service will immediately cease.

9.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Requests by law enforcement
  • Extended periods of inactivity
  • Technical or security issues

9.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately terminate. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to waive any right to a jury trial and to participate in any class action lawsuit or class-wide arbitration.
